Senior Legal Secretary



A prominent national law firm, recognized for its exceptional service across major U.S. markets, seeks an experienced Senior Legal Secretary to play an important role in collaboratively supporting a team of successful attorney's.
This individual will deliver assistance to attorneys while working in collaboration with a team of legal secretary's tackling a variety of legal projects. Strong understanding of legal office operations, a keen eye for detail, and the capacity to manage projects and tasks to completion.
Responsibilities:
- Draft and prepare legal correspondence and documents, with a primary focus on court forms and pleadings directly related to Corporate Law- Bankruptcy, Commercial Litigation, Mergers and Acquisitions, and Private Equity.
- Actively support legal caseloads, ensuring deadlines are met and documents are organized for efficient case progression.
- Prepare and organize intricate legal documents related to corporate transactions and litigation, utilizing iManage, Worldox, NetDocuments, or similar DMS (document management system).
- Manage billing pre-bills and timekeeping, ensuring accuracy and adherence to firm standards within corporate law matters.
- Coordinate travel arrangements and manage expense reports, as needed.
- Assist in the generation of client conflict checks and the opening of new matters, with a focus on potential conflicts within corporate transactions.
Requirements:
- 3+ years of experience as a Legal Secretary, specifically within a large law firm, with demonstrable experience in Corporate Law- including Bankruptcy, Commercial Litigation, Mergers and Acquisitions, and Private Equity.
- Proven expertise in drafting and managing complex legal documents within the corporate law sphere.
- Experience with iManage, Worldox, NetDocuments, or similar DMS (document management system).
- Proficiency in Microsoft Office Suite and e-signature software, such as DocuSign, Adobe Sign, or SignNow.
- In-depth understanding of corporate legal terminology, procedures, and regulations.
- Bachelor’s degree required.

The ideal candidate will possess a strong foundation in corporate law, meticulous attention to detail, and the ability to thrive in a fast-paced setting.
Responsibilities:
- Due diligence, document preparation, corporate record maintenance, and client communication
- Manage capitalization tables and track equity compensation using platforms like Carta, Pulley, AngelList, and ShareWorks
- Draft and file corporate documents, including entity formations, amendments, mergers, and dissolutions
- Conduct thorough due diligence, reviewing and summarizing contracts and corporate records
- Prepare closing certificates, board and stockholder resolutions, and other transactional documents, including those related to M&A
- Assist in the preparation of SEC filings (e.g., Forms S-1, 10-K, 10-Q, 8-K) and Blue Sky/securities filings
- Coordinate with third parties for filings and ensure compliance with reporting deadlines
Requirements:
- 3+ years of experience as a Paralegal, specifically with Mergers & Acquisitions, Emerging Companies and Venture Capital (ECVC), Private Equity, and Securities
- Experience with any of the following document management platforms: iManage, Worldox or Clio

- Litigation Support:

Role Responsibilities:
- Managing and delivering high-quality BAS projects.
- Managing a team of experienced engineering professionals.
- Develop project plans, timelines, and budgets for BAS installation, upgrades, or optimization projects.
- Coordinate with clients, in-house engineers, and other stakeholders to define project requirements and objectives.
- Serve as the primary point of contact for clients, keeping them informed of project progress and addressing concerns.
- Maintain detailed project documentation, including schedules, budgets, and change orders.
